Definition of terms
a) Project: any submitted idea, drawings, models and or products.
b) Project Owner: the inventor of the project or the owner of the intellectual property rights if any and includes individuals and companies.
c) Committee: a multidisciplinary committee in charge of the review, approval and implementation of the project.
Submission of a project
The submission by you of your project neither obligates Chase Bank in any way nor creates a binding contractual agreement, commitment or relationship between you and Chase Bank.
However, if Chase Bank’s committee acting on its unfettered discretion, has an interest in developing a product based on your submission, you will be required to sign a separate written contract setting the terms and conditions of engagement and where the project holder wishes to have their project treated in a confidential way, the project owner will sign a Non- Disclosure Agreement with Chase Bank.
Development of the project
The project owner will work hand in hand with the committee in assessing whether the project is viable and practical. However, Chase Bank does not warrant that the project will be adopted and that the outcome of the project will be as the project holder had envisioned.
Warranties and indemnity
The project owner warrants that they are the inventors of the project or the owner of the intellectual property rights of the project if any, and possess all the necessary rights and permissions to submit the project idea. The project owner will thus hold harmless and indemnify Chase Bank it against any third party claims related to the project including claims of infringement of any third party intellectual rights.
Intellectual property rights
Chase Bank requests all project owners to seek any or all intellectual property rights in an attempt to own and or protect their individual projects before submitting their projects with us where they feel that making public their projects could jeopardize their rights and interests in the project. These terms and conditions are binding upon the submission of your project and shall remain in effect after the termination of the project.
These terms and conditions shall be governed by and construed in accordance with the laws of Kenya and any disputes arising shall be referred to the Kenyan Courts.
